Job Description
- Corporate Governance
- Organizing and documenting Board of Directors’ and shareholders’ meetings.
- Maintaining statutory registers and company records.
- Ensuring compliance with applicable corporate laws and regulations.
- Regulatory Compliance
- Filing of statutory returns and annual reports.
- Liaising with regulators, auditors, and relevant authorities.
- Monitoring changes in legislation affecting the company’s operations.
- Board & Management Support
- Preparing agendas, minutes, and resolutions for board meetings.
- Advising directors on their legal and fiduciary duties.
- Coordinating communication between the board and executive management.
- Records & Documentation
- Custody of official company seal, certificates, and legal documents.
- Safekeeping of contracts, policies, and corporate governance frameworks.
- Stakeholder Communication
- Managing shareholder relations.
- Ensuring transparency and timely disclosure of information.
